01Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website operated by Rawmart (“Rawmart”, “we”, “us”, “our”), together with any quotations, proposals, order confirmations, catalogues, tools and communications provided through it (collectively, the “Services”).

By accessing the website, submitting an enquiry, or placing a purchase or manufacturing order with us, you confirm that you have read, understood and agree to be bound by these Terms and by any additional written agreement executed between you and Rawmart. If you do not agree, please do not use the Services.

You represent that you are using the Services in the course of a business or profession, that you are authorised to bind the organisation you represent, and that all information you provide is accurate and complete.

02Scope of Services

Rawmart provides raw material sourcing and supply, vendor discovery and management, and end-to-end manufacturing execution across fabrication, machining, casting, forging, injection moulding and allied processes, along with related engineering, quality and logistics coordination.

Website content — including capability descriptions, sample projects, capacity figures, lead times and indicative pricing — is provided for general information only. It does not constitute a binding offer. A binding contract arises only when Rawmart issues a written quotation or order confirmation and you accept it, or when a separate supply/manufacturing agreement is signed.

03Quotations, Orders and Pricing

• Quotations are valid for the period stated on them or, if none is stated, for 15 days from the date of issue.
• All prices are exclusive of GST and other applicable taxes, duties, freight, insurance, packing and third-party inspection charges unless expressly stated otherwise.
• Orders are accepted subject to confirmation of material availability, drawings, specifications, tolerances and commercial terms. Rawmart may decline or cancel an order that cannot be fulfilled to specification.
• Prices may be revised for changes in scope, specification, quantity, raw material indices, statutory levies or foreign exchange rates occurring after the quotation date, with prior written intimation.
• Changes to a confirmed order must be requested in writing and are effective only when accepted by Rawmart; they may affect price and delivery schedule.

04Payment Terms

Unless a separate credit arrangement is agreed in writing, payment terms are as stated on the quotation or invoice. Advance, milestone or against-delivery payment may be required for custom manufacturing and long-lead materials.

Invoices not disputed in good faith within 7 days of receipt are deemed accepted. Overdue amounts may attract interest at 1.5% per month (or the maximum permitted by law, if lower) and may lead to suspension of ongoing work and withholding of dispatch.

You may not withhold or set off any amount without Rawmart’s prior written agreement. Goods remain the property of Rawmart until payment is received in full; risk passes on delivery per the agreed Incoterm.

05Delivery, Inspection and Acceptance

Delivery dates are estimates based on information available at the time of order confirmation and are subject to timely approvals, inputs and payments from you. Time is not of the essence unless expressly agreed in writing.

You must inspect goods on receipt and notify Rawmart in writing of any shortage, visible damage or non-conformity within 7 days of delivery, and of any latent defect within 30 days of discovery and in any case within the warranty period. Goods not rejected within these periods are deemed accepted.

Where third-party or client-witnessed inspection is agreed, dispatch clearance is given on satisfactory inspection or on waiver by you.

06Warranty and Remedies

Rawmart warrants that supplied goods will, at the time of delivery, conform in material respects to the agreed drawings, specifications and applicable standards, and that manufacturing workmanship will be free from defects for the period stated in the order or, if none is stated, for 12 months from delivery.

This warranty does not cover: fair wear and tear; corrosion or damage from improper storage, handling, installation, use or maintenance; modification or repair not carried out or authorised by Rawmart; defects arising from designs, materials or instructions supplied by you; or normal variation within stated tolerances.

For a valid warranty claim, Rawmart’s sole obligation, at its option, is to repair, replace or re-work the non-conforming goods, or to issue a credit for their value. Return of goods requires prior written authorisation.

07Intellectual Property and Confidentiality

All content on this website — text, graphics, logos, images, videos, layout and software — is owned by or licensed to Rawmart and is protected by applicable intellectual-property laws. You may view and print pages for internal evaluation of doing business with Rawmart; any other use, copying, framing, scraping or redistribution requires prior written permission.

Drawings, models, tooling designs, process know-how and pricing methodologies developed by Rawmart remain Rawmart’s property unless expressly assigned in writing. You retain rights in the designs and specifications you provide, and you grant Rawmart a licence to use them for the purpose of quoting and fulfilling your order.

Each party will keep the other’s non-public information confidential and use it only for the purpose of the engagement. This obligation survives completion of the order for a period of three years, or longer where a separate non-disclosure agreement applies.

08Your Responsibilities

• Provide accurate, complete and timely drawings, specifications, standards, quantities and delivery requirements, and promptly review and approve samples, first articles and documentation.
• Ensure you have the right to share any design, data or material you provide and that it does not infringe third-party rights.
• Use the website only for lawful purposes and not to transmit malware, attempt unauthorised access, overload the infrastructure, or misrepresent your identity or authority.
• Comply with all applicable export-control, anti-bribery, sanctions and trade laws in connection with the goods and the engagement.

09Limitation of Liability

To the maximum extent permitted by law, Rawmart is not liable for any indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, production, goodwill, contracts or data, howsoever arising, whether in contract, tort (including negligence), statute or otherwise.

Rawmart’s total aggregate liability arising out of or in connection with any order or with your use of the Services will not exceed the total amount paid by you to Rawmart for the specific order giving rise to the claim in the 12 months preceding the event.

Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence or for fraud.

10Force Majeure

Neither party is liable for delay or failure to perform (other than a payment obligation) caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic or pandemic, war, civil unrest, strikes, transport or utility failure, raw-material shortage, or acts of government. The affected party will notify the other promptly and use reasonable efforts to mitigate. If the event continues for more than 60 days, either party may terminate the affected order for convenience, without liability except for work properly performed up to the date of termination.

11Third-Party Links and Content

The website may link to third-party websites, tools or resources. Rawmart does not control and is not responsible for their content, availability, or privacy and security practices. Accessing them is at your own risk and subject to their terms.

12Changes to the Services and Terms

Rawmart may modify, suspend or discontinue any part of the website or Services at any time. We may also update these Terms from time to time; the version in force is the one published on this page. Material changes will be indicated by updating the “Last updated” date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

13Governing Law and Dispute Resolution

These Terms and any non-contractual obligations arising out of them are governed by the laws of India. Subject to the following, the courts at Pune, Maharashtra have exclusive jurisdiction.

The parties will first attempt to resolve any dispute amicably through senior-management discussion within 30 days of written notice. Failing resolution, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996; the seat and venue of arbitration will be Pune and the language will be English. This clause does not prevent either party from seeking urgent interim relief from a court.
